  29.      A.  HP Objectives
  30.           To offer HP customers an opportunity to
  31.           "try and buy" the leading Unix system
  32.           management solution and increase HP 9000
  33.           Series 800 system sales
  34.  
  35.      B.  CA Objectives
  36.           To enhance awareness of CA-Unicenter with HP's
  37.           customer base, and to increase CA-Unicenter
  38.           sales

  41. 2.  120 day free-license Program timeline:
  42.  
  43.      A.  Program Start Date
  44.  
  45.           The 120-day free license program is targeted to
  46.           begin customer shipments as follows:
  47.  
  48.                US/Asia Pacific          July 8, 1993
  49.                Europe                   July 22, 1993
  50.  
  51.           These dates are governed by the program timeline
  52.           developed by HP and agreed to by CA.
  53.  
  54.           These dates may slip slightly, depending on HP's
  55.           quality testing of the CA-Unicenter software and
  56.           trial process.

  59.      B.  Program End Date
  60.  
  61.           The 120-day promotional program will last for a
  62.           period of one year (July 8, 1994, OR one year
  63.           from actual program start date).

  66. 3.   Program Contents
  67.  
  68.      A.  Systems supported at initial release of program
  69.  
  70.           The CA-Unicenter 120 day free license program will
  71.           be supported on the following systems in the
  72.           following manner:

  89.           For the HP 9000 Series 800 Model F systems, the
  90.           promotional folder will contain:

  95.           2.  Demo Diskette   A PC-based demonstration of
  96.                               CA-UNICENTER for HP-UX

  109.           For the HP 9000 Series 800 Model G, H, I, and 890
  110.           (uniprocessor) systems, the promotional kit will
  111.           contain:

  114.                               for HP-UX
  115.  
  116.           2.  Demo Diskette   A PC-based demonstration of
  117.                               CA-UNICENTER for HP-UX
  118.  
  119.           3.  Brochure        An overview describing the
  120.                               features of CA-UNICENTER
  121.           4.  "Getting        A tutorial of CA-UNICENTER
  122.                Started Guide"

  124.           5.  "Using          A detailed explanation of
  125.                CA-UNICENTER"  the functionality of
  126.                               CA-UNICENTER, along with
  127.                               practical examples
  128.  
  129.           6.  "CA-UNICENTER   Step-by-step instructions

  131.                Installation   for installing CA-UNICENTER
  132.                Guide"         for HP-UX
  133.  
  134.           7.  CA-UNICENTER    Contains the complete
  135.                DAT            CA-UNICENTER for HP-UX 9.0

  142.      D.  Localization of program contents
  143.  
  144.           CA will provide four language versions of both
  145.           the kits and folders to HP.  The determination
  146.           by HP of which language version to ship will
  147.           based on the systems'  manual language option
  148.           on the original customer order.
  149.  
  150.           The following language versions are supported
  151.           for the period of this promotion:
  152.

  154.                -French/Canadian
  155.                -German
  156.                -Japanese

  161. 4.  Customers eligible for promotion
  162.      The 120-day free license program is designed for
  163.      customers who are shipped HP 9000 Series 800 systems
  164.      on or after the program start date.
  165.  
  166.      HP field personnel and HP installed base customers
  167.      WILL NOT BE ELIGIBLE to order the 120-day free license
  168.      kits (as individual part numbers) directly from HP.
  169.  
  170.      If CA would like to offer this program to HP installed
  171.      base customers, CA is solely responsible for the
  172.      implementation and administration of such a program.

  177. 5.  Customer process (for G/H/I/890) systems
  178.  
  179.      a.   Customer receives shrinkwrapped 120 day
  180.           free license promotional kit with S800 shipment.
  181.  
  182.      b.   Customer must FAX to CA a completed application
  183.  
  184.           (FAX number is on the promotional flyer)
  185.  
  186.      c.   CA will issue the customer a key to use CA-
  187.           UNICENTER for 120 day trial promotion.
  188.  
  189.  
  190.           At this time, CA will provide the customer
  191.           with a CA-UNICENTER documentation set.  CA
  192.           will work with the customer to understand
  193.           their requirements for this trial, and likely
  194.           recommend that the customers to purchase a CA-
  195.           Startup Pak to get the customer up-to-speed on CA-
  196.           Unicenter.
  197.  
  198.           HP's PSD is working with CA to determine
  199.           how to recommend that the customer contact
  200.           the HP PSO for initial product start-up training
  201.           and consulting.  The PSD services are still
  202.           in the process of being defined, and will not
  203.           be available in the initial stages of this
  204.           program.  PSD will be phasing in services over
  205.           time.

  207.      d.   At the end of 120 days, the CA-Unicenter trial
  208.           license will expire. The customer must contact CA
  209.           if they wish to  continue to use the CA-UNICENTER
  210.           software after this time.  The customer must
  211.           obtain a license from CA to use the software.

  214. 6.  X-terminal co-promotion
  215.  
  216.      Because the CA-UNICENTER Motif interface adds much
  217.      value to the CA-UNICENTER product, most customers
  218.      would want to try the software with some sort of
  219.      X-display.  Customers would be able to use any
  220.      supported X-terminal, or workstation, as the front
  221.      end GUI display for Unicenter.

  223.      For those customes without any kind of X-display
  224.      device, HP (Panacom) offers a promotion
  225.      program for an HP X-terminal.  This program will
  226.      allow a customer to purchase an X-terminal at a
  227.      significant discount.  The Promotion is entitled
  228.      "Open for X Business Promotion".
